Private-testing notice
This is an honest pre-launch draft. SOLED's verified operator, contacts, age rule, governing law and dispute jurisdiction must be added before public release.
These Terms and Conditions explain the rules for using the SOLED mobile marketplace. They include SOLED's marketplace, safety, payment, shipping and claims rules. Please read them before creating an account, listing an Item, sending a message or making a purchase.
1. Agreement and key words
By creating an account or using SOLED, you agree to these Terms. If you do not agree, do not create an account or use the marketplace. The Privacy Policy explains how personal information is handled and is separate from this contract.
In these Terms, a Buyer is a User who buys or offers to buy an Item; a Seller is a User who lists or sells an Item; a Listing is the description, photographs and price for an Item; an Order is a transaction recorded by SOLED; a Paid Offer is an offer for which Stripe first authorizes the proposed total; and SOLED Protection is the buyer fee and related claims process described below.
2. SOLED operator and contact details
SOLED is still in private testing. The verified operator name, address, country of establishment, legal email and support email have not yet been finalized. Those details must be completed and this draft must be approved before public launch.
Do not rely on placeholder contact details elsewhere in the repository. A working legal contact and customer-support channel must be published before launch.
3. Eligibility and age
You must be at least 18 years old and legally able to enter into these Terms. If the law where you live requires parental or guardian involvement, you must meet that requirement.
You may use SOLED only where the service is made available and where doing so is lawful. You must not use another person's identity or create an account for someone who has not authorized you.
4. Accounts, confirmation and security
Provide accurate account and profile information, keep it up to date, protect your password and device, and tell SOLED promptly if you believe your account has been compromised. You are responsible for activity performed through your account unless the activity resulted from a failure for which SOLED is legally responsible.
The current app requires email confirmation before a User can access protected marketplace actions. A private profile may store one normalized phone number, and the database prevents the same normalized number from being linked to multiple accounts. SMS phone verification is not currently connected, so SOLED does not claim that phone numbers are verified.
Use one account unless SOLED has expressly approved another legitimate reason. Do not create duplicate accounts to avoid a restriction, manipulate activity, mislead others or abuse promotions. SOLED may investigate linked accounts using proportionate security information.
5. SOLED's role and Seller status
SOLED provides technology that helps Buyers and Sellers find each other, communicate and record transactions. Unless SOLED clearly states otherwise for a specific Item, SOLED does not own, inspect, list or sell a User's Item and is not a party acting as the Seller of that Item.
A Seller may be a private individual or a professional trader. EU consumer rights can differ significantly: purchases from a professional trader may include mandatory withdrawal, conformity, guarantee and information rights, while purchases from a private individual generally do not receive the same EU consumer-law protections.
The current product does not collect or display a reliable private-seller/trader status. Professional selling must not be enabled for public launch until SOLED can verify and show the Seller's status and legally required trader information. A User who sells in the course of business must not misrepresent themselves as a private seller.
6. Listings and Seller responsibilities
A Seller must have the legal right to sell every Item and must create an honest, current and complete Listing. Photographs must show the actual Item unless clearly identified otherwise. The title, description, brand, category, size, condition, defects, alterations, authenticity information and price must not mislead a Buyer.
Sellers must answer reasonable questions truthfully, package Items appropriately, ship only the Item purchased and keep proof of shipment. A Seller must not list the same unavailable Item repeatedly or leave an unavailable Listing active.
SOLED may correct categories, reduce distribution, hide or remove a Listing, ask for information, or restrict an account where reasonably needed for safety, legality, accuracy or enforcement. Where appropriate, SOLED will explain the reason and provide a way to contact support.
7. Prohibited Items and behaviour
You must not use SOLED for any of the following:
- Counterfeit, stolen, illegal, recalled, unsafe or unlawfully imported products, or Items that infringe intellectual-property rights.
- Weapons, drugs, hazardous goods, sexual-exploitation material, or other dangerous or unlawful content or products.
- False, misleading or spam Listings; fake profiles; impersonation; fraud; scams; manipulated photographs; or concealment of significant defects.
- Trades or swaps. SOLED permits sales only; it does not permit exchanging one Item for another.
- Payment outside SOLED, sharing payment details to bypass checkout, or attempts to avoid SOLED fees or protections.
- Harassment, threats, hate speech, discrimination, bullying, sexually exploitative content or other abusive communication.
- Duplicate Listings, unsolicited advertising, automated scraping, harmful code or activity that disrupts or overloads SOLED.
- Manipulating bids, offers, reviews, favourites, follows, viewer numbers or other engagement, including through coordinated or duplicate accounts.
- Multiple accounts used to evade a ban, suspension, limit, safety control or enforcement action.
8. Authenticity and counterfeit rules
Sellers must list only authentic Items and must provide accurate authenticity information and reasonable supporting evidence when requested. A brand name, receipt, serial number, certificate or authentication badge must not be fabricated, altered or used for a different Item.
SOLED may remove a suspected counterfeit Listing, pause an Order, request evidence, restrict an account or report unlawful activity. SOLED does not guarantee that every Item is authentic merely because the Listing appears in the app or has not been removed.
9. Purchases, Orders and sold Listings
A Buy now checkout is not complete merely because a Buyer opens checkout or a PaymentIntent is created. The purchase becomes binding between Buyer and Seller when payment is successfully confirmed and SOLED records the paid Order, subject to mandatory law and any valid cancellation, refund or claim right.
Server-side checks confirm the Listing is active and prevent a Seller from buying their own Item. When a paid Order is finalized, the database marks the Listing sold so it is no longer available for normal offers or purchase. Technical reconciliation may take a short time after Stripe confirms a payment.
A Buyer must review the Item price, SOLED Protection fee, shipping method, shipping price and total before confirming payment. A Seller must not sell or promise the Item elsewhere after a paid Order is recorded.
10. Standard Offers and Paid Offers
A standard Offer is a proposal to buy at a stated amount. It does not charge the Buyer when sent. Seller acceptance allows the Buyer to proceed to protected checkout; it does not create a paid Order until checkout payment succeeds.
A Paid Offer uses a Stripe PaymentIntent with manual capture. When the Buyer confirms the Paid Offer, Stripe authorizes the total rather than immediately completing the sale. The authorization may reduce the Buyer's available card balance, but the money is not a SOLED wallet balance and SOLED does not describe it as funds held by SOLED.
The current Paid Offer must be below the Listing price and at least 70% of it. It normally expires 24 hours after creation. If the Seller accepts while the authorization remains valid, SOLED asks Stripe to capture the authorized total and then creates the paid Order. If the Seller declines, the Buyer cancels, the Offer expires or the Listing becomes unavailable before capture, SOLED asks Stripe to cancel the authorization. The card issuer controls when the released amount becomes available again.
An Offer cannot be accepted after it expires or after the Item is sold. Server-side idempotency and reconciliation are used to reduce duplicate charges and duplicate Orders, but a User must not deliberately submit repeated payment attempts.
11. Prices, currency and SOLED Protection fee
Current marketplace calculations use euros. The Item price is set by the Seller. The Buyer pays the displayed Item price, SOLED Protection fee and selected shipping charge.
For the current implementation, the SOLED Protection fee is €0.48 when the Item or accepted Offer amount is below €5.00. For an amount of €5.00 or more, the fee is €0.48 plus 3% of that amount, rounded to the nearest cent. The checkout server calculates the total and does not rely only on a total supplied by the mobile app.
Current GLS and DHL options each display a €7.99 shipping charge. SOLED must update these Terms before changing a contractual fee, and the total shown immediately before payment controls for that transaction unless it contains an obvious error that is corrected before payment. Taxes or trader-specific charges, if applicable, must be disclosed as required by law.
12. Payments, authorization, capture and refunds
Stripe processes card details, payment authentication, authorizations, captures, cancellations and refunds. SOLED receives payment status and provider references but does not store full card numbers or security codes. Stripe and the Buyer's bank may apply their own terms.
The repository currently enforces Stripe test keys for marketplace payment functions. Real-money payments must not launch until the production merchant, live-mode configuration, webhook operation, reconciliation, refund operations and payout model have been approved and tested.
SOLED may cancel an unpaid checkout. For a paid but unshipped Order, the current recovery flow allows the Buyer or Seller to request a full Stripe refund. Once shipment has occurred, the Buyer can submit an Order problem for support review instead of triggering an automatic refund. Refund availability and any mandatory rights are not reduced by this paragraph; the bank or card network controls the time needed to display an approved refund.
13. Shipping, labels and tracking
The Buyer normally pays the shipping charge selected at checkout. The current options are GLS and DHL at €7.99 each. The Seller is responsible for using the selected or instructed method, packing the Item safely, sending it to the Order address and entering a valid carrier and tracking number in the app.
The audited product does not currently generate courier labels or verify an active courier API. A Seller must not assume that SOLED has purchased a label or booked a courier merely because the Order displays GLS or DHL. Before launch, SOLED must provide clear operational shipping instructions or connect and disclose the actual label provider.
The Seller should ship within the period shown in the Order or otherwise communicated by SOLED. No contractual dispatch deadline is stated in this draft because the product does not yet implement a final deadline. The Seller must retain dispatch and delivery evidence until the Order and any claim are resolved.
14. Delivery, lost and damaged parcels
A Buyer should check the delivery address before payment and monitor the tracking information. A Seller should notify SOLED and the courier if a parcel is delayed, lost or damaged in transit and must cooperate with a reasonable investigation.
If tracking shows a problem or an Item does not arrive, the Buyer should use Report a problem in the Order as soon as reasonably possible and keep relevant messages, photographs and delivery information. SOLED may pause completion, review records, request further evidence and coordinate with the payment or delivery provider. No fixed inspection or claim deadline is promised in this draft because one has not been implemented or approved.
15. SOLED Protection, claims and evidence
SOLED Protection is intended to support eligible problems where the Item is not received, is counterfeit, arrives damaged, is the wrong Item, or is materially different from the Listing. It is not an authenticity guarantee, insurance policy or substitute for mandatory rights against a professional Seller.
The current app permits a Buyer to submit a text description after an Order is shipped, ready for pickup or completed. The Order is then paused for SOLED support review. The app does not yet provide claim-evidence upload, a complete case-management interface or a published claim decision process. Those operational controls must be completed before public launch.
A User must give truthful information, preserve the Item and packaging, provide requested photographs, messages, tracking or authentication information, and not alter or resell an Item while a claim is open. SOLED will assess available evidence fairly, may consult Stripe, a courier or an authentication provider, and will explain the outcome where appropriate.
16. Returns and return shipping
For an approved SOLED Protection claim involving a counterfeit, damaged, incorrect or materially misdescribed Item, the intended rule is that the Seller pays the reasonable return-shipping cost. The current app does not generate a return label or automatically charge that cost to the Seller, so the Buyer must wait for SOLED's return instructions before sending the Item.
A return may require tracked shipping, appropriate packaging and dispatch within a reasonable instructed period. A refund may depend on the Item being returned in materially the same condition, except for the reported problem and handling reasonably needed to inspect it. Mandatory consumer rights always remain available where applicable.
17. Change of mind, fit and statutory returns
SOLED Protection does not currently create an automatic return right for a private-sale Item merely because the Buyer changes their mind, dislikes it or the fit is unsuitable. SOLED has not finalized a voluntary change-of-mind or fit return rule, so this draft does not assign return shipping for those cases.
Different rules apply when a Seller is a professional trader. A Buyer may have mandatory withdrawal, conformity, repair, replacement, price-reduction or refund rights under EU or national law. These Terms do not remove those rights, and a professional Seller is responsible for complying with them.
18. CheckCheck authentication
The repository contains an optional CheckCheck integration for submitting product photographs and details and receiving a status, result or certificate. Seller submission is currently hidden and provider submissions and uploads are disabled unless the deployment explicitly enables them after the private API contract is verified.
If CheckCheck is enabled, SOLED will show the applicable process and any cost before a request is sent. A CheckCheck result is a third-party opinion based on the material submitted; it is not a guarantee by SOLED and does not prevent SOLED from investigating later evidence. Users must not submit altered evidence or reuse a result for another Item.
19. Messages and User Content
Listings, photographs, profiles, live comments, messages, reports and other material supplied by Users are User Content. You remain responsible for your User Content and must have the rights and permissions needed to share it.
Messages must be used for legitimate marketplace communication. Do not harass others, request off-platform payment, share dangerous or unlawful material, send spam, or use messaging to evade SOLED's safety controls. Automated filters may block contact details, external links, social handles and off-platform payment phrases.
SOLED may access and use User Content as reasonably needed to provide the feature, complete an Order, investigate a report, enforce these Terms, protect Users or comply with law, subject to the Privacy Policy. Private messages are not made public merely by being sent through SOLED.
20. Content licence and intellectual property
You keep ownership of intellectual-property rights you hold in your User Content. You grant SOLED a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, display and distribute that content only as needed to operate, secure and promote the marketplace and your Listing. The licence lasts while the content is available and for reasonable backup, safety, dispute and legal-retention periods afterward.
You must not upload content that infringes copyright, trade marks, design rights, privacy, publicity or other rights. SOLED may remove content after a valid report and may ask the parties for evidence. SOLED's name, logo, app, software and original design remain the property of their respective owner and may not be copied or misused.
21. Reporting, blocking and moderation
The mobile app includes tools to report Listings, Users and messages. SOLED's admin tools can review reports, hide or remove Listings, suspend or ban accounts and record moderation actions. Rate limits apply to report creation, and automated message filters help reduce contact-sharing and off-platform payment abuse.
SOLED will consider reports in a proportionate and timely way, may request more information, preserve relevant records, restrict distribution, remove content, pause transactions or restrict accounts. Serious illegality or immediate safety risk may require action without advance notice. Where appropriate, SOLED will give a reason and an opportunity to contact support.
A User can block or unblock another User from that User's seller profile. Blocking removes follows in both directions and prevents new direct messages, offers and purchases between those Users. Existing content and conversation history remain available, reports remain separate, and messaging required to complete an existing active paid Order may remain available. Only the User who set a block can remove it.
22. Reviews and ratings
After a paid Order is completed, the Buyer may review the Seller's communication, packaging and shipping, and the Seller may give the Buyer an overall rating. Each participant may submit once. Reviews cannot be edited after submission.
Reviews are double-blind: one participant's review remains private until the other participant also submits. Only then are both reviews revealed to the two Order participants and included in the relevant profile rating summaries. If the other participant does not submit, the hidden review is not included in the public rating.
Reviews must reflect the genuine Order and must not be bought, traded, coordinated, threatened or manipulated. SOLED may label, restrict or remove reviews that are fraudulent, unlawful, abusive or unrelated to the transaction.
23. Restrictions, suspension, termination and deletion
SOLED may warn a User, limit a feature, hide or remove content, pause an Order, suspend an account or ban a User where reasonably necessary to address fraud, illegality, safety risk, repeated rule violations, payment risk, security incidents or misuse of the service. The response should be proportionate. Except where law, safety or an investigation prevents it, SOLED should explain the material reason and how to raise a complaint.
Users may stop using SOLED at any time. A signed-in User can open Profile, choose Settings, then Delete account, review the consequences, type DELETE and confirm the request. Public instructions are also available at the deletion page linked below. Logging out or deactivation is not presented as account deletion.
If there is no active Order, payment, Paid Offer or Live transaction, SOLED removes access to the account, anonymizes the public profile, hides Listings, removes Listing images and private profile details, and replaces sent-message content with a deletion notice. The action cannot be undone.
If an active transaction exists, SOLED records the request and delays final deletion until the transaction, payment, refund, claim or dispute is resolved. This protects the other transaction participant and does not permit SOLED to retain unrelated data indefinitely.
Completed transaction, payment, delivery, tax, fraud-prevention, safety, moderation, dispute or legal records may be retained with restricted access for an appropriate period where required or justified. Those records are not maintained as an active public profile. More detail is provided in the Privacy Policy.
24. Availability and third-party services
SOLED may change, maintain, suspend or discontinue a feature for legitimate product, security, legal or operational reasons. SOLED does not promise uninterrupted or error-free availability, but this does not remove responsibilities that cannot legally be excluded. Material changes affecting an active Order should be managed fairly.
SOLED relies on third parties including Supabase for backend services, Stripe for payments, LiveKit for live media and, if enabled, CheckCheck for authentication. Courier services are performed by the applicable provider. Each provider may have terms and operational limits; SOLED remains responsible for its own legal obligations and choices.
25. Responsibility and liability
Each User is responsible for their Listing, Item, communications, shipping actions and compliance with law. SOLED is not responsible merely because a User breaches these Terms, but SOLED does not exclude responsibility for its own fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any liability or mandatory consumer right that law does not allow it to exclude.
To the extent permitted by law, SOLED is not liable for indirect or unforeseeable loss that was not caused by SOLED, or for a User's lost profit in a private non-business transaction. Any limitation must be interpreted fairly in light of the service provided and mandatory law. This draft does not impose a broad consumer indemnity; legal counsel must review any future business-seller allocation of risk.
26. Changes to these Terms
SOLED may update these Terms for changes to the service, law, fees, safety controls or providers. The version and updated date will change. Material changes should be communicated in a durable and understandable way before they take effect, with reasonable notice unless an urgent legal or safety reason requires faster action.
A change will not retroactively remove rights that already apply to a paid Order. If professional Sellers are admitted, any additional notice, statement-of-reasons, complaint and data-access duties that apply to business Users must also be implemented.
27. Governing law, disputes and complaints
These Terms are governed by the laws of Hungary, subject to any mandatory protections of the country where a consumer lives. Disputes may be brought in the competent courts of Hungary or the competent Hungarian conciliation body, where applicable, without removing any court or dispute right that mandatory law gives a consumer.
For a marketplace complaint, contact app.soled@gmail.com with your account identifier, Order or Listing reference, what happened and the outcome you seek. SOLED will acknowledge and review the complaint within a reasonable period.
